Please read these Terms and Conditions (“Terms”) carefully before using the website at africadiaspoconsulting.com or engaging the services of Africa Diaspo Consulting (“we,” “our,” or “us”). By accessing our website, booking a consultation, or purchasing any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. About Africa Diaspo Consulting
Africa Diaspo Consulting is a business consulting firm and technology platform provider serving West African diaspora businesses and organizations across the United States. We provide consulting, marketing, CRM, automation, social media management, e-commerce support, and related services. Our platform is powered by white-labeled technology built on GoHighLevel.
2. Acceptance of Terms
By using our website, booking a consultation, or subscribing to any of our services, you confirm that:
• You are at least 18 years of age
• You have the legal authority to enter into this agreement on behalf of yourself or your business
• You agree to comply with these Terms and all applicable laws and regulations
• You have read and understood our Privacy Policy, which is incorporated into these Terms by reference
3. Services Offered
Africa Diaspo Consulting offers the following categories of services:
a) Consulting Services:
• Business growth strategy and advisory
• Marketing strategy and campaign management
• Operations consulting and process optimization
• Social media management and content creation
• Cultural and multilingual marketing
b) Platform Services (SaaS):
• Access to our all-in-one business management platform
• CRM, email/SMS marketing, website and funnel builder
• Booking, invoicing, automation, and reputation management tools
• Voice AI receptionist services
c) E-Commerce Services:
• TikTok Shop and Facebook Store setup and management
• Dropshipping business launch and support
• Social selling strategy and content management
d) Faith & Nonprofit Services:
• Membership management and digitization
• Donation tracking and online giving setup
• Event promotion and bilingual communications
4. Fees, Payments, and Refunds
a) Pricing:
All pricing for our services is as listed on our website at africadiaspoconsulting.com/pricing. Prices are in US Dollars and are subject to change with reasonable notice. Onboarding fees are charged at the time of service setup and are separate from monthly subscription fees.
b) Payment Terms:
• Monthly subscription fees are billed in advance at the beginning of each billing cycle
• Onboarding and one-time setup fees are due at the time of service commencement
• Payment is accepted via credit card, debit card, and other methods as available on our platform
• All payments are processed securely through third-party payment processors (Stripe, PayPal)
c) Late Payments:
If payment is not received by the due date, we reserve the right to suspend access to your platform account until payment is made. Accounts suspended for non-payment for more than 30 days may be terminated.
d) Refund Policy:
• Monthly subscription fees are non-refundable once the billing cycle has begun
• Onboarding fees are non-refundable after setup work has commenced
• If you cancel within the 7-day free trial period (where applicable), you will not be charged
• In exceptional circumstances, refund requests may be considered at our sole discretion
• To request a refund, contact us at [email protected] within 7 days of the charge
5. Subscription and Cancellation
a) Subscriptions:
Our platform services are offered on a month-to-month subscription basis. There are no long-term contracts. You may cancel your subscription at any time.
b) How to Cancel:
• Log in to your account and navigate to Settings > Billing > Cancel Subscription, or
• Contact us at [email protected] with your cancellation request
c) Effect of Cancellation:
• Your access to the platform will continue until the end of the current billing period
• No partial refunds will be issued for unused time in a billing period
• Your data will be retained for 30 days after cancellation, after which it may be deleted
• You are responsible for exporting your data before cancellation
6. SMS Messaging Terms
Africa Diaspo Consulting SMS Program
By providing your phone number and opting in to our SMS communications, you agree to receive text messages from Africa Diaspo Consulting. Message types include appointment reminders, service updates, promotional offers, and consultation follow-ups.
• To opt out: Text “STOP” at any time. You will receive a confirmation and no further messages will be sent

• Carriers are not liable for delayed or undelivered messages
• Message and data rates may apply. Message frequency varies

SMS Data Privacy: No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, except for aggregators and providers of the Text Message services.
7. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree NOT to:
• Use our platform to send spam, unsolicited messages, or engage in any form of harassment
• Transmit any content that is illegal, defamatory, obscene, or violates the rights of others
• Attempt to gain unauthorized access to our systems or other users’ accounts
• Use our services to promote illegal activities or violate any applicable laws
• Resell or redistribute our services without our explicit written permission
• Interfere with or disrupt the integrity or performance of our platform
• Use our platform to send messages that violate TCPA, CAN-SPAM, or other applicable regulations
Violations of this section may result in immediate suspension or termination of your account without refund.
8. Intellectual Property
a) Our Content:
All content on our website and platform, including but not limited to text, graphics, logos, images, software, and templates, is the property of Africa Diaspo Consulting and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
b) Your Content:
You retain ownership of any content you upload or create using our platform. By using our services, you grant us a limited, non-exclusive license to use your content solely for the purpose of providing our services to you. We will never sell or share your content with third parties without your consent.
c) Feedback:
If you provide feedback or suggestions about our services, you grant us the right to use such feedback without restriction or compensation.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This includes but is not limited to business strategies, client lists, financial information, and trade secrets. This obligation survives the termination of our agreement for a period of 3 years.
10. Disclaimers and Limitations of Liability
a) No Guarantee of Results:
Africa Diaspo Consulting provides consulting services and technology tools based on industry best practices and our professional experience. However, we do not guarantee specific business outcomes, revenue increases, or results. Business success depends on many factors outside our control.
b) Platform Availability:
We strive to maintain platform uptime and availability but cannot guarantee uninterrupted service. We are not liable for downtime caused by third-party service providers, maintenance, or circumstances beyond our control.
c) Limitation of Liability:
To the maximum extent permitted by law, Africa Diaspo Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability to you for any claim shall not exceed the amount paid by you to us in the 3 months preceding the claim.
d) Indemnification:
You agree to indemnify and hold harmless Africa Diaspo Consulting, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
11. Third-Party Services and Integrations
Our platform integrates with various third-party services including but not limited to GoHighLevel, Stripe, PayPal, Google, Facebook, Instagram, Zoom, and others. Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the performance, availability, or conduct of third-party services.
12. Account Security
You are responsible for:
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access to your account
• Ensuring your contact information is accurate and up to date
We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used in violation of these Terms.
13. Termination
a) By You:
You may terminate your use of our services at any time by canceling your subscription and discontinuing use of the platform.
b) By Us:
We reserve the right to suspend or terminate your account and access to our services at any time, with or without cause, including but not limited to:
• Violation of these Terms or our Acceptable Use Policy
• Non-payment of fees
• Fraudulent or abusive behavior
• Requests from law enforcement or regulatory authorities
Upon termination, your right to access and use our services will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in New Jersey, in accordance with the American Arbitration Association rules. You waive any right to a jury trial or class action lawsuit.
15. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will:
• Update the “Effective Date” at the top of these Terms
• Post the updated Terms on our website
• Notify you via email for significant changes
Your continued use of our services after any changes constitutes your acceptance of the updated Terms. We recommend reviewing these Terms periodically.
16. Entire Agreement
These Terms, together with our Privacy Policy and any service agreements or statements of work, constitute the entire agreement between you and Africa Diaspo Consulting regarding your use of our services and supersede all prior agreements, understandings, and communications between the parties.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
